Terms of Service

1. Acceptance of Terms

By accessing or using MemDown, you agree to these Terms of Service. If you disagree, please do not use the service.

2. Description of Service

MemDown is a list-making application that offers:

  • Local-first list creation (no account required)
  • Optional cloud sync with account registration
  • Premium features for paying users

3. User Accounts

3.1 Account Creation

  • You must provide a valid email address
  • You must be 13+ years old
  • You are responsible for keeping your password secure
  • One person may not maintain multiple accounts

3.2 Account Termination

  • You may delete your account anytime via Settings
  • We may suspend/terminate accounts that violate these terms
  • Termination deletes all your data permanently

4. Acceptable Use

You agree NOT to:

  • Violate any laws or regulations
  • Harass, abuse, or harm others
  • Upload malware, viruses, or harmful code
  • Attempt to access other users' data
  • Overload our servers or interfere with service operation
  • Use automated tools to scrape or abuse the service
  • Impersonate others or provide false information

5. Content Ownership

  • Your Content: You own all lists, items, and data you create
  • Our Rights: You grant us the right to store and display your content to provide the service
  • Responsibility: You are responsible for the content you create

6. Premium Features

  • Some features require a premium subscription
  • Pricing and features subject to change with notice
  • Refunds handled on a case-by-case basis
  • Subscription cancellation does not entitle you to a refund for the current billing period

7. Data & Privacy

  • Your use is also governed by our Privacy Policy
  • We will never sell your personal data to third parties
  • You can export or delete your data anytime

8. Service Availability

  • We strive for 99.9% uptime but make no guarantees
  • Scheduled maintenance may cause temporary downtime
  • We are not liable for data loss (keep backups!)

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • MemDown is provided "AS IS" without warranties of any kind
  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability shall not exceed the amount you paid us in the last 12 months
  • Some jurisdictions do not allow liability limitations, so these may not apply to you

10. Indemnification

You agree to indemnify and hold MemDown harmless from any claims arising from:

  • Your violation of these terms
  • Your violation of any law or third-party rights
  • Your use of the service

11. Modifications to Service

  • We may modify or discontinue features at any time
  • We will provide notice for material changes when possible
  • Continued use after changes constitutes acceptance

12. Governing Law

These terms are governed by the laws of England and Wales. Disputes will be resolved in the courts of England and Wales.
